This eBiz Partner Agreement (the "Agreement") is entered into by and between AiWin Corporation ("AiWin"), with its principal place of business at Unit B, 8/F., Eastern Flower Centre, 22-24 Cameron Road, Tsimshatsui, Kowloon, Hong Kong, and YOU ("eBiz Partner"). Any reference herein to the "Parties" will be a collective reference to AiWin and eBiz Partner.

EBIZ PARTNER INFORMATION

eBiz Partner agrees the information provided on the on-line application form is true and correct.

(a) All Partners shall provide accurate and valid information about their identity.

(b) A Partner must have a valid email address and a valid shipping address in Canada, United States or a U.S. Territory.

(c) All Partners must be 18 years of age or older to join any AiWin's website.

ENGAGEMENT OF AGREEMENT

To become an eBiz Partner, eBiz Partner must (a) complete, execute and deliver to AiWin.com the On-line Application, this Agreement, and applicable Payment agreed by eBiz Partner in this Agreement, and (b) receive written notification of approval from AiWin.com. AiWin.com may deny eBiz Partner membership in AiWin.com's eBiz Partner Program for any reason in AiWin.com's sole and absolute discretion.

SALES COMMISSIONS

Sales Commission will be paid to eBiz Partner under this agreement and counted towards the total sales during the calendar month in which the products and services are ordered under the account of eBiz Partner and his (or her) downline partner(s).

There are up to 5 tiers of sales commissions will be considered towards eBiz Partner's account due to the tiers of downline partner referred by the eBiz Partner.

PAYMENT OF SALES COMMISSIONS

Sales Commissions Payment: AiWin will pay current month’s Sales Commissions for the applicable Sales Commissions in next month’s payment that is processed after the 5th of each calendar month.
A statement of customer purchase activity to the eBiz Partner will be available online or by request the statement can be mailed or faxed to the eBiz Partner.
If a Sales Commissions qualifying product is later cancelled or is in process of cancellation by the customer, its Sales Commissions will be deducted from the next monthly payment sent to the eBiz Partner. If there is no next monthly payment, the eBiz Partner will be billed.

Payment of sales commissions and management fees will be sent to the name and address registered on the on-line application form.

TERMS OF THE AGREEMENT

The eBiz Partner may receive Sales Commissions payments on qualifying orders that are placed during the term of this agreement. This term will begin on the date that your application is approved by AiWin, and shall end when canceled by either party as provided below.

All qualifying payment to eBiz Partner earned through the date of expiration or cancellation of this agreement will remain payable only if the products are not returned, canceled from their orders or outstanding of Support Fee owed. Payment of the final Sales Commissions and Management Fees payment to the eBiz Partner may be withheld for a reasonable time in order to ensure that the correct amount is paid.

eBiz Partner is liable to pay income tax on taxable income, as local tax law, whereas, AiWin shall be no liability to pay income tax of each eBiz Partner.

In addition, AiWin.com reserves the right to add, discontinue or change any of the terms of eBiz Partner program covered by this Agreement upon giving eBiz Partner notice at least thirty business days prior to the effective date of the addition, discontinuance or change.

TERMINATION OF THE AGREEMENT

This agreement will be terminated only upon the termination of AiWin eBiz Partner Membership Agreement.
